Annual General Meeting 2026

We will be holding our Annual General Meeting (AGM) in the Conference Room at Eanam Wharf Business Development Centre, Eanam Wharf, Eanam Old Road, Blackburn BB1 5BL on Thursday 12th February from 12 noon.

As the Charity Commission have requested and consented to slight amendments to three regulated clauses, we are asking our valued members to vote through a number of special resolutions. You can vote by proxy – the paperwork to enable you to do so should you be unable to attend is in the document below: –

Special Resolutions to Amend the Articles of Association

  • 8 (i)
    Special Resolution to amend the Charity’s Objects Clause (articles 4) as worded by and given the prior consent of the Charity Commission and detailed in the following pages. The amended wording is to replace the wording as detailed in the earlier amendment dated 16th December 2014.
  • 8 (ii)
    Special Resolution to amend the Charity’s Dissolution Clause (articles 7) as worded by and given the prior consent of the Charity Commission and detailed in the following pages. The amended wording is to replace the wording as detailed in the earlier amendment dated 16th December 2014.
  • 8 (iii)
    Special Resolution to amend the Charity’s Trustees Benefit Clause (articles 12) as worded by and given the prior consent of the Charity Commission and detailed in the following pages. The amended wording is to replace the wording as detailed in the earlier amendment dated 16th December 2014.
  • 8 (iv)
    Special Resolution to incorporate the above three amendments and other administrative amendments accepted by the Charity Commission into a new memorandum and articles of association as detailed in the following pages and submit the amended Memorandum and Articles of Association to Companies House and the Charity Commission in accordance with our Articles of Association and the requirements of the Companies Acts and Charity Act.
